These Terms of Use apply to BHIConsulting.com (the “Site”) and to the downloads and video courses sold on it. The Site is operated by BHI Management Consulting (“BHI,” “we,” “us”). By using the Site or buying from us, you agree to these terms. If you buy on behalf of an organization, you confirm that you are authorized to accept these terms for it.
1. Using the Site
You may view and print Site content for your own informational, non-commercial use. Please don’t copy, republish or sell Site content, misuse the Site, or try to interfere with its operation or security. The content on the Site is general information about governance and management. It is not legal, financial or other professional advice for your specific situation.
2. Ownership
The Site, the Organizational Self-Assessment Tool (Organizational Health Assessment and Planner), the video courses and all related materials are owned by BHI or its licensors and are protected by copyright and other laws. Buying a product gives you a license to use it as described below. It does not transfer ownership.
3. License for the Organizational Self-Assessment Tool and other downloads
This section applies to the Organizational Self-Assessment Tool (Organizational Health Assessment and Planner) and any other download we sell.
When you buy a download, BHI grants you a non-exclusive, non-transferable license to use it within one organization (the agency, district or company the purchaser buys for). Under this license:
- You may use, copy and print the materials for that organization’s internal use, including sharing them with its board members, staff and advisers who are working on that organization’s assessment.
- You may not resell, sublicense, publish, post publicly, or distribute the materials or any copies to anyone outside that organization. That includes other agencies, clients of a consultant, and file-sharing or public websites. You also may not remove BHI’s copyright notices or present the materials as your own.
- A consultant or other organization that wants to use the materials with more than one organization needs a separate license for each one. Contact us for multi-organization pricing.
If you buy the option that includes an online consultation with Brent Ives, we will contact you to schedule it. Unless we agree otherwise in writing, the consultation must be scheduled within 6 months of purchase. If we can’t offer you a time in that window, we’ll refund $250 as described in Section 6. If we don’t hear from you to schedule within 6 months, the consultation option expires.
4. Video courses
- Single-viewer purchases are for one person. Please don’t share your access credentials.
- Group purchases cover up to 12 attendees from one organization, for courses offered with a group option. Group pricing for other courses is available on request, and the number of attendees agreed with us applies.
- We send your access credentials by email within 24 hours of payment. If you haven’t received them by then, contact us.
- You may not download, record, copy, re-broadcast or distribute the course videos, or show them to people outside the purchased audience.
- Courses are delivered through our video host, Vimeo. We will make reasonable efforts to keep courses available, but we don’t guarantee uninterrupted access and may update or retire a course.
5. Prices and payment
Prices are in U.S. dollars and are shown on the Site at the time you order. We may change prices at any time, but a change won’t affect an order we have already accepted. Payments are processed by PayPal, and PayPal’s terms and privacy policy apply to your payment. We don’t receive or store your full card or bank details. You are responsible for any taxes or fees your organization owes on the purchase. We may cancel and refund an order if a product was listed at an obvious pricing error or is no longer available.
6. Refunds
Because downloads and course access are delivered digitally and can’t be “returned”:
- Digital downloads and video courses are non-refundable once delivered, except as described below.
- Defective or not delivered. If a file won’t open or is corrupted, if course credentials don’t work, or if you never received your download or credentials, contact us at brent@bhiconsulting.com within 14 days of purchase. We will first try to fix the problem by sending a working file or new credentials. If we can’t, we will refund the purchase price in full through PayPal.
- Duplicate charges made by mistake will be refunded.
- Consultation option. If you bought the download with an online consultation ($550) and we can’t schedule the consultation within the period in Section 3, we will refund $250, the difference between the $550 price and the $300 download-only price.
- Nothing in these terms limits any rights you have under law that can’t be waived.
7. Disclaimer
The Site, downloads and courses are provided “as is.” They draw on BHI’s professional experience, but results depend on how each organization uses them, and we don’t guarantee any particular outcome. To the fullest extent permitted by law, BHI disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
8. Limitation of liability
To the fullest extent permitted by law, BHI will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from your use of the Site or our products. BHI’s total liability for any claim relating to a product or the Site is limited to the amount you paid BHI for the product involved, or $100 if the claim doesn’t relate to a purchase. Some jurisdictions don’t allow certain of these limits, so they apply to you only as far as the law allows.
9. Links to other sites
The Site links to other websites, such as PayPal, Vimeo and LinkedIn. We aren’t responsible for their content, terms or privacy practices.
10. Privacy
Our Privacy Policy explains how we handle personal information.
11. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in San Joaquin County, California, and you and BHI consent to their jurisdiction.
12. Changes to these terms
We may update these terms from time to time by posting a new version here with a new effective date. The version in effect when you place an order applies to that order.
